These Terms of Use ("Terms") govern your access to and use of the Orahub website, Orahub account services, subscriptions, skill listings, skill distribution features, and related materials and information made available by LUMORA AI PTE. LTD., a company incorporated in Singapore and operating under the product name Orahub ("Orahub", "we", "us", or "our"), through its own website or through third-party channels (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
1. Eligibility and Authority
You may use the Service only if you are legally capable of entering into a binding agreement under applicable law. If you access or use the Service on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity as well as the individual acting on its behalf.
If you are under the age at which you may lawfully use the Service without parental or guardian consent under applicable law, you may use the Service only with the permission and supervision of a parent or legal guardian.
2. Nature of the Service
Orahub provides an online service that may include:
- website access and account management;
- listings, packaging, distribution, promotion, or delivery of skills and related materials;
- subscription, billing, and support functions; and
- links, instructions, compatibility information, or access information relating to third-party platforms, APIs, models, tools, or services.
Unless Orahub expressly states otherwise for a specific feature, Orahub does not itself receive, host, review, monitor, or process the images, prompts, files, instructions, or other content that you may submit when using a third-party platform, API, model, editing service, or other external tool through an Orahub-distributed skill.
3. Limited License
Subject to your compliance with these Terms, Orahub grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Service for your internal and lawful use.
No right, title, or interest in or to the Service is transferred to you except for the limited license expressly granted under these Terms.
4. Accounts
Certain portions of the Service may require registration using an email address. You agree to provide accurate, current, and complete information and to keep that information updated.
You are responsible for:
- maintaining the confidentiality of your account credentials and verification links;
- all activities that occur under your account; and
- notifying Orahub promptly of any unauthorized access to or use of your account.
Orahub may refuse registration, suspend access, or terminate accounts where reasonably necessary to protect the Service, comply with law, address security or fraud concerns, or enforce these Terms.
5. Third-Party Services, Tools, and Platforms
Orahub-distributed skills may be used with third-party platforms, marketplaces, APIs, models, editing services, payment providers, or other external tools and services (collectively, "Third-Party Services").
You acknowledge and agree that:
- Third-Party Services operate independently from Orahub;
- your use of any Third-Party Service is governed by that provider's own terms, policies, and practices;
- any images, prompts, files, text, or other material you submit while using a Third-Party Service are submitted to that Third-Party Service, not to Orahub, unless Orahub expressly states otherwise; and
- you are solely responsible for reviewing and complying with the terms, privacy notices, technical requirements, and restrictions applicable to each Third-Party Service you choose to use.
6. Your Responsibilities
You are solely responsible for:
- your use of the Service and any Orahub-distributed skill;
- your decision to use any Third-Party Service;
- ensuring that you have all rights, permissions, consents, and lawful authority necessary for any content, data, or material you use with a Third-Party Service; and
- reviewing and evaluating any output, result, transformation, or other response produced by a Third-Party Service before you use, publish, distribute, license, or rely upon it.
7. Prohibited Conduct
You must not, and must not permit any third party to:
- use the Service in violation of any applicable law or regulation;
- infringe, misappropriate, or otherwise violate intellectual property, privacy, publicity, or other rights;
- distribute, access, or use Orahub-distributed skills without required authorization or in a manner contrary to applicable restrictions;
- use the Service to facilitate unlawful, deceptive, fraudulent, defamatory, abusive, or harmful conduct;
- create or facilitate non-consensual intimate imagery, child sexual abuse material, exploitative content, unlawful impersonation, identity fraud, or harmful or misleading deepfakes;
- introduce malware, viruses, malicious code, or other harmful material into the Service;
- interfere with, disrupt, probe, bypass, or compromise the integrity, security, or operation of the Service;
- scrape, crawl, reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying components of the Service, except to the extent such restriction is prohibited by applicable law;
- use the Service to build, benchmark, or support a competing service in a manner that violates applicable law or these Terms; or
- resell, sublicense, rent, lease, or provide unauthorized access to the Service.
8. Intellectual Property Rights
The Service, including its software, interfaces, trademarks, logos, designs, documentation, skill packaging, and other content made available by Orahub, is owned by or licensed to Orahub and is protected by applicable intellectual property and other laws.
Except for the limited license expressly granted in these Terms, no right, title, or interest in the Service is granted to you, whether by implication, estoppel, or otherwise.
9. Feedback
If you provide Orahub with suggestions, ideas, feedback, or other comments regarding the Service, you grant Orahub a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, distribute, display, perform, and otherwise exploit that feedback for any lawful purpose without restriction, compensation, or attribution.
10. Fees, Billing, and Subscriptions
Paid features of the Service may be offered on a subscription or other paid basis. If you purchase a paid feature, you agree to pay all applicable fees, charges, and taxes disclosed at the time of purchase.
Unless otherwise stated at the time of purchase:
- subscriptions renew automatically until canceled, and you may cancel your subscription at any time through your account settings on the Orahub website. Cancellations will take effect at the end of the current billing cycle;
- the applicable third-party payment provider is authorized to charge your designated payment method; and
- fees are non-refundable except where required by applicable law or expressly stated by Orahub.
Orahub does not store full payment card numbers. Payment transactions are processed by third-party payment providers and remain subject to the provider's applicable terms and privacy practices.
11. Suspension, Termination, and Discontinuation
You may stop using the Service at any time. Orahub may suspend, restrict, or terminate your access to all or part of the Service, with or without notice, if:
- you breach these Terms;
- Orahub reasonably suspects fraud, abuse, unlawful activity, or a security risk;
- a third-party provider or payment partner requires Orahub to do so; or
- continued operation of the Service, or your access to the Service, creates legal, regulatory, security, or operational risk.
Orahub may modify, suspend, or discontinue any feature, skill listing, integration, or other aspect of the Service at any time, to the extent permitted by law.
12. Disclaimer Regarding Third-Party Services
Orahub distributes skills and related access materials, but Third-Party Services are not owned or controlled by Orahub.
To the maximum extent permitted by applicable law, Orahub is not responsible for:
- the availability, compatibility, legality, security, accuracy, reliability, quality, or fitness of any Third-Party Service;
- any output, result, file, transformation, failure, or error produced by a Third-Party Service;
- any loss, damage, claim, dispute, or liability arising from or relating to your use of a Third-Party Service; or
- any act or omission of a third-party platform, API provider, model provider, payment provider, marketplace, hosting provider, or other third-party service provider.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." ORAHUB DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, ORAHUB DOES NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, SECURE, TIMELY, OR ERROR-FREE;
- ANY SKILL, LISTING, OR INTEGRATION WILL REMAIN AVAILABLE, COMPATIBLE, OR SUPPORTED;
- ANY THIRD-PARTY SERVICE OR THIRD-PARTY OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, LAWFUL, OR SUITABLE FOR YOUR PURPOSE; OR
- DEFECTS WILL BE CORRECTED.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, certain disclaimers in this Section may not apply to the limited extent prohibited by law.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORAHUB AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND BUSINESS PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF ORAHUB, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE MOST RECENT SUBSCRIPTION OR LICENSING FEE PAID BY YOU TO ORAHUB FOR THE SERVICE GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
15. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Orahub and its affiliates, licensors, service providers, and business partners from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- your access to or use of the Service;
- your use of any Orahub-distributed skill or any Third-Party Service;
- your violation of these Terms; or
- your violation of applicable law or the rights of any person or entity.
16. Governing Law and Jurisdiction
To the maximum extent permitted by applicable law, these Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be governed by the laws of the State of Delaware, U.S.A., without regard to conflict of laws principles.
Subject to any non-waivable rights or remedies available under applicable consumer protection or data protection law, the state and federal courts located in New Castle County, Delaware, U.S.A., will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and each party irrevocably submits to that jurisdiction and venue.
17. Class Action Waiver and Jury Trial Waiver
To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service must be brought and maintained solely in an individual capacity, and not as a plaintiff, claimant, or class member in any purported class, collective, representative, mass, consolidated, or private attorney general action or proceeding.
To the maximum extent permitted by applicable law, each party waives any right to commence, maintain, participate in, or recover relief through any class, collective, representative, mass, consolidated, or private attorney general action or proceeding against the other party in connection with these Terms or the Service. Unless all parties otherwise agree in writing, no court may consolidate the claims of more than one person, preside over any form of class, collective, representative, mass, or consolidated proceeding, or award relief except as necessary to resolve the individual claim of the party seeking relief.
To the maximum extent permitted by applicable law, each party also waives any right to a trial by jury in any action or proceeding arising out of or relating to these Terms or the Service.
If any portion of the class action, collective action, representative action, mass action, consolidated action, private attorney general action, or jury trial waiver set out in this Section is found to be unlawful, void, or unenforceable with respect to a particular claim or request for relief, then that portion will be severed and will not apply to that claim or request for relief, and such claim or request for relief may proceed only to the minimum extent required by applicable law. The remainder of this Section, together with all other dispute resolution, forum selection, governing law, and jurisdiction provisions in these Terms, will continue in full force and effect to the maximum extent permitted by law.
18. General Terms
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
No failure or delay by Orahub in exercising any right, remedy, or provision under these Terms will operate as a waiver of that right, remedy, or provision.
You may not assign or transfer these Terms, or any rights or obligations under these Terms, without Orahub's prior written consent. Orahub may assign these Terms, in whole or in part, in connection with a corporate transaction or by operation of law.
19. Changes to These Terms
Orahub may amend these Terms from time to time. The updated version will be posted on the Service and will indicate the revised "Last Updated" date. Where required by applicable law, Orahub will provide additional notice regarding material changes. Continued use of the Service after the effective date of revised Terms constitutes acceptance of the revised Terms.
